Terms and Conditions
Introduction
These Terms and Conditions govern the use of the OptimaWebAI website and services. By using our website or engaging our services, you agree to these terms.
Services
OptimaWebAI provides website design, website development, website maintenance, hosting, branding, digital solutions, and related services.
All services are subject to project requirements, agreed deliverables, and written approval.
Project Deposits
A 50% non refundable deposit is required to secure a project start date.
No work will begin until the required deposit has been received.
The remaining balance must be paid before the final website is launched or transferred to the client.
Project Timelines
Project timelines depend on the scope of work and the timely delivery of content, feedback, and approvals from the client.
Delays in providing required information may affect project completion dates.
Client Responsibilities
Clients are responsible for providing:
• Accurate project information
• Required content and images
• Timely feedback and approvals
• Legal rights to any content supplied
OptimaWebAI is not responsible for delays caused by missing content or late responses.
Revisions
Reasonable revisions are included during the design process.
Additional revisions or requests outside the agreed project scope may be billed separately.
Website Hosting and Maintenance
Hosting and maintenance services are billed at the agreed monthly rate.
Optional Website Build and Monthly Hosting
This option applies only where agreed in writing. The one-time website build fee covers the agreed design and development work. Monthly hosting fees are separate and cover continued hosting; payment of the build fee does not include indefinite hosting.
Where the website is hosted through an OptimaWebAI-managed account, OptimaWebAI controls the hosting account and publication of the website while providing the hosting service. This operational control does not change ownership of the paid-for final website or client-supplied content under the project agreement.
If hosting fees become overdue, OptimaWebAI will give written notice of the amount due and the deadline to remedy non-payment. If payment remains outstanding after that deadline, hosting may be suspended and the website unpublished, subject to the agreed notice requirements and applicable law. The website will then be unavailable to visitors until hosting is restored or alternative hosting is arranged. Any restoration or migration arrangements must be agreed separately, taking account of technical capabilities and third-party licences.
If the client cancels hosting, hosting and publication end on the effective cancellation date, normally at the end of the paid hosting period, subject to the accepted agreement and applicable law. Any mandatory cancellation rights or notice periods remain unaffected.
Cancelling, suspending or ending hosting does not, by itself, entitle the client to a refund of the build fee for work properly completed and delivered. This does not exclude any remedy or refund required by applicable law.
For existing clients, this option applies only to the extent already agreed or subsequently accepted in writing. Publishing an updated policy does not, by itself, amend an existing client agreement.
Ownership and Intellectual Property
The client will own the final website design and content once full payment has been received.
OptimaWebAI reserves the right to display completed projects within its portfolio, marketing materials, and case studies unless otherwise agreed in writing.
Third Party Services
Projects may involve third party services, platforms, plugins, payment gateways, domains, or integrations.
OptimaWebAI is not responsible for service interruptions, pricing changes, or issues caused by third party providers.
Limitation of Liability
OptimaWebAI shall not be liable for any indirect, incidental, or consequential losses arising from the use of our services, website, or third party platforms.
While we strive to deliver reliable solutions, we do not guarantee uninterrupted website availability or specific business outcomes.
Refund Policy
Deposits are non refundable once work has commenced.
Refund requests will be considered only where required by applicable law.
Completed work and delivered services are not eligible for refunds except where required by applicable law.
Termination
Either party may terminate a project in writing.
Any work completed up to the termination date will remain payable by the client.
Changes to These Terms
We reserve the right to update these Terms and Conditions at any time.
Updated versions will be published on this page.
Governing Law
These Terms and Conditions shall be governed by and interpreted in accordance with the laws of South Africa.
